Review and Negotiation of Business Contracts

Aaron’s clients understand the legal ramifications of entering into contracts on everyday matters, and that is why they retain Aaron to review them before signing. Sometimes, a contract does not accurately describe the deal that the client thought was worked out, and was supposed to be reduced to writing. Aaron helps his clients understand their legal rights and obligations that stem from the contract, and makes revisions to the contracts to better protect his clients’ interests. This requires both the legal knowledge and experience to comprehend the implications of the legal terms and the likely interpretation to be given the contract by a Florida court, as well as the skill set to adequately negotiate with the opposing side to make the terms of contract better for the client.

Complex Business Litigation

Aaron litigates complex and high-dollar business disputes in both state and federal court as well as in arbitrations. This has often included matters with significant amounts at issue for clients ranging from Fortune 100 companies to start-ups across diverse industries. These litigation matters often relate to:

    Breach of Contract, Shareholder/Member and Post-Transaction Disputes: breach of contract claims; partnership, shareholder and member disputes; derivative actions; rights & responsibilities of directors, officers and managers; governance disputes; breach of fiduciary duty claims; disputes involving joint ventures, asset purchases, buyouts, options to purchase, restructuring, dissolutions, and mergers and acquisitions; valuation and appraisal issues; claims of fraud, false advertising, unfair competition, misappropriation, tortious interference, antitrust violations and FDUTPA violations; banking, financing and mortgage issues; vendor/supplier disputes; replevin, conversion and civil theft claims; UCC issues; theft of trade secrets claims; and commercial collection actions.

    Estate and Trust Litigation With a Business Component: high-asset disputes on behalf of both fiduciaries and beneficiaries that involve businesses; Personal Representative and Trustee removal and surcharge disputes; pretermitted & elective share issues; prudent investor rule; will & trust contests; will & trust construction & reformation; trust modification, revocation and termination; breach of fiduciary duty claims; accounting litigation; guardianship and competency proceedings; undue influence and lack of capacity claims; representation of creditors of estates.

Mediator, Arbitrator and Special Master

The majority of cases in Florida do not go to trial, but are settled. Aaron is a Florida Supreme Court Certified Circuit Civil Mediator, a Florida Supreme Court Certified Appellate Mediator and a Florida Supreme Court Qualified Arbitrator. Aaron also serves on the National Roster of Commercial Arbitrators with the American Arbitration Association. With Aaron’s litigation background, he assists parties resolve complex disputes in both mediation and arbitration. When in this dispute resolution role, he is most often called to resolve complex business disputes, employment disputes, real estate disputes and intellectual property disputes.

In addition, Aaron is available to serve as a Special Master or Magistrate to resolve issues for parties in litigation, as authorized by Fla. R. Civ. P. 1.490. Aaron has a background in computer science and received a B.S.B.A. in Decision and Information Sciences (business and computer science) from the University of Florida, so he is available to resolve issues such as e-discovery disputes.

Aaron has served on the Executive Council that oversees the Florida Bar’s 1,100-member Alternative Dispute Resolution Section, where he Chaired the Business, Employment and Real Estate Disputes Committee.

Appeals

Aaron has represented clients in appellate proceedings before state and federal courts, including the United States Supreme Court. During litigation, Aaron will offer strategic advice concerning the identification and preservation of issues that may be appealed. After the litigation has concluded, Aaron will continue to represent his clients in any appeal that may arise. The purpose of an appeal is to review decisions of the lower court to determine if harmful legal error has occurred. Aaron may defend a favorable decision of a lower court on appeal or seek to reverse an unfavorable decision on appeal. Aaron is committed to providing quality appellate representation, and will provide legal assistance with both appeals and extraordinary writs, such as writs of certiorari, mandamus or prohibition, both before trial and after judgment.
