Aaron Jay Horowitz primarily represents businesses as their outside General Counsel and assists with transactions, mergers and acquisitions, and contract review and negotiation. Aaron also handles complex business litigation, including breach of contract disputes, post-M&A and post-transaction disputes, employment matters, real estate disputes, and technology disputes. Aaron is a Florida Supreme Court Certified Circuit Civil Mediator, a Florida Supreme Court Certified Appellate Mediator, a Florida Supreme Court Qualified Arbitrator, and a Commercial Arbitrator on the National Roster of the American Arbitration Association. Aaron is the Immediate Past President of the Broward County Bar Association.


Aaron serves as Outside General Counsel for businesses across diverse industries, assisting with their legal needs on an on-demand basis. These businesses range from publicly traded companies and private equity funds to closely held family businesses.
Aaron has litigated complex matters with significant amounts at issue in state and federal courts and in arbitration. He represents clients in disputes involving breach of contract, post-M&A and post-transaction issues, shareholder and partnership disputes, employment matters, real estate, and technology.
Aaron is a Florida Supreme Court Certified Circuit Civil Mediator, a Florida Supreme Court Certified Appellate Mediator, and a Florida Supreme Court Qualified Arbitrator. He serves on the National Roster of Commercial Arbitrators with the American Arbitration Association. Aaron previously served on the Executive Council that oversees the Florida Bar’s 1,100-member Alternative Dispute Resolution Section, where he chaired the Business, Employment and Real Estate Disputes Committee. He is also available to serve as a Special Master or Magistrate, including on e-discovery disputes.
Aaron prepares the legal documents necessary to start and operate a business, including entity formation, articles of incorporation, bylaws, operating agreements, shareholder agreements, employment agreements, and licensing agreements. He also handles mergers and acquisitions, including representation of buyers, sellers, and private equity funds. Aaron has served as lead lawyer on multiple M&A transactions with over $50 million in deal value, including transactions exceeding $100 million.
Aaron reviews business contracts before clients sign them, identifying terms that create unnecessary risk, ambiguities that may give rise to disputes, and provisions that fail to reflect the deal the parties actually negotiated. Drawing on his litigation background, Aaron evaluates each agreement with attention to how its provisions are likely to be interpreted by a Florida court if disputed.
Aaron negotiates business contracts on behalf of clients across a wide range of matters, from routine vendor and supplier agreements to mergers and acquisitions, joint ventures, shareholder and member buyouts, employment and separation agreements, and post-closing dispute resolution. Aaron has served as lead lawyer and lead negotiator on numerous multi-million dollar business transactions.
